2. Minutes of 2019 Annual General Meeting
To accept the Minutes of the 2019 Annual General Meeting held on Wednesday 13 March 2019 at the Central Room A, Gold Coast Convention and Exhibition Centre, 2684 – 2690 Gold Coast Highway, Broadbeach, QLD, 4218.
3. Consideration of Financial Statements and Reports
(a) the annual financial statements for AIST for the year ended 31 December 2019;
(b) the directors’ report for AIST for the year ended 31 December 2019; and
(c) the auditors’ report for AIST for the year ended 31 December 2019.
An electronic copy of the annual financial statements is attached to this notice.

5. Proposed Special Resolution
To consider and, if thought fit, to pass the following resolution as a Special Resolution:
“That for the purposes of section 136 of the Corporations Act 2001 (Cth) and for all other purposes the Company approves and adopts the new Constitution in the form tabled at the Annual General Meeting and repeals the existing Constitution of the Company with effect on and from the time and date of this resolution.”

HOW TO PARTICIPATE AND VOTE
Virtual Attendance at the Annual General Meeting
Due to health concerns and the current government-imposed restrictions on public gatherings arising from the COVID-19 pandemic, members will not be able to attend the Meeting in person.
The Federal Treasurer has made a determination modifying the operation of provisions of the Corporations Act 2001 and the Corporations Regulations 2001 under Corporations (Coronavirus Economic Response) Determination (No. 1) 2020 (“Determination”) to allow companies who are required or permitted to hold meetings to hold those meetings remotely as virtual meetings, instead of in person.
As a consequence of this Determination, the Meeting will be held virtually (online) via Link Market Services online platform,. There will be no physical attendance at the Meeting.
The Meeting will be live for participation by members and proxyholders via the online platform at https://agmlive.link/AIST20. To participate you will need a desktop or mobile/tablet device with internet access. When you log onto the online platform at https://agmlive.link/AIST20 on the morning of the Meeting, you will need to provide your details (including your Member Identification to be verified as a member or proxyholder. Proxyholders will need their login details which will be provided by Link Market Services no later than 24 hours before the Meeting.
Voting by Proxy
If you are entitled to attend and vote at the Meeting, you can appoint a proxy to attend and vote on your behalf. A proxy need not be a member of AIST, and may be an individual or a body corporate. You can provide your instructions by clicking on the secure link emailed to you accompanying this Notice or online at www.linkmarketservices.com.au in accordance with the instructions provided on the website. You will need your Member I.D. to lodge your proxy form online.
How to vote online
Members participating in the Meeting using the online platform https://agmlive.link/AIST20 will be able to vote between the commencement of the Meeting (4.00pm AEDT on Wednesday 17 June 2020) and the closure of voting as announced by the Chair during the Meeting.
More information regarding online participation at the Meeting (including how to vote and ask questions online during the Meeting) is available in the Online Platform Guide. The Online Platform Guide will be available on our website. To ensure your browser is compatible, please follow the instructions in the Online Platform Guide. It is also recommended that members who elect to participate in the Meeting through the online platform log into the online portal at least 15 minutes prior to the scheduled start time for the Meeting.
